Chapter17LiabilityforBreachofContract
Article42Shouldthecooperativeventurecompanybeunabletocontinueitsoperationorachieveitsbusinesspurposeduetothefactthatoneofthecontractingpartiesfailstofulfiltheobligationsprescribedbythecontractandarticlesofassociation,orseriouslyviolatestheprovisionsofthecontractandarticlesofassociation,thatpartyshallbedeemedtohaveunilaXXX,XXX,thepartywhofailstofulfilitsobligationsshallbeliablefortheeconomiclossescausedtherebytothejointventurecompany.
Article43ShouldeitherPartyAorPartyBfailtoprovideonschedulethecontributionsinaccordancewiththeprovisionsdefinedinChapter5ofthiscontract,thepartyinbreachshallpaytotheotherparty________Yuan,or__________%XXX,_________Yuan,or_________%ofthecontributionshallbepaidtotheotherparty,whoshallhavetherighttoterminatethecontractandtoclaimdamagesfromthepartyinbreachinaccordancewiththeprovisionsofArticle42ofthecontract.
Article44Shouldallorpartofthecontractanditsappendicesbeunabletobefulfilledowingtothefaultofoneparty,XXX,theyshallbeartheirrespectiveliabilitiesaccordingtotheactualsituation.
Article45Inordertoguaranteetheperformanceofthecontractanditsappendices,bothPartyAandPartyBshallprovideeachotherwithbankguaranteesforperformanceofthecontractwithin__________daysafterthecontractcomesintoforce.
Chapter18ForceMajeure
Article46Shouldeitherofthepartiestothecontractbepreventedfrome_ecutingthecontractbyforcemajeure,suchasearthquake,typhoon,flood,fire,warorotherunforeseenevents,andtheiroccurrenceandconsequencesareunpreventableandunavoidable,thepreventedpartyshallnotifytheotherpartybytelegramwithoutanydelay,andwithin15daysthereafterprovidedetailedinformationoftheeventsandavaliddocumentforevidenXXX,throughconsultations,decidewhethertoterminatethecontractortoe_emptpartoftheobligationsforimplementationofthecontractorwhethertodelaythee_ecutionofthecontractaccordingtotheeffectsoftheeventsontheperformanceofthecontract.
Chapter19ApplicableLaw
Article47Theformation,validity,interpretation,e_ecutionandsettlementofdisputesinrespectof,thiscontractshallbegovernedbytherelevantlawsofthePeople’’sRepublicofChina.
Chapter20SettlementofDisputes
Article48Anydisputesarisingfromthee_ecutionof,orinconnectionwith,XXX,thedisputesshallbesubmittedtotheForeignEconomicandTradeArbitrationCommissionoftheChinaCouncilfortheProXXX.
Article49Duringthearbitration,thecontractshallbeobservedandenforcedbybothpartiese_ceptforthemattersindispute.

XXX.Intheeventofanydiscrepancybetweenthetwoaforementionedversions,theChineseversionshallprevail.

Article51Theappendicesdrawnupinaccordancewiththeprinciplesofthiscontractareintegralpartsofthiscontract,including:theprojectagreement,thetechnologytransferagreement,thesalesagreementetc.
Article52ThecontractanditsappendicesshallcomeintoforcecommencingfromthedateofapprovaloftheMinistryofForeignTradeandEconomicCooperationofthePeople’’sRepublicofChina(oritsentrustede_aminationandapprovalauthority).
Article53Shouldnoticesinconnectionwithanyparty’’srightsandobligationsbesentbyeitherPartyAorPartyBbytelegramortele_,etc.,XXX.
